1. Acceptance of Terms

By creating an account or using the AvviFlow platform ("Service"), you ("User") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service.

AvviFlow is operated by AvviFlow ("Company", "we", "us"), a business registered in Faridabad, Haryana, India.

2. Description of Service

AvviFlow is a multi-tenant Software-as-a-Service (SaaS) platform designed for agencies to manage vendors, expenses, team members, invoices, and payouts. The Service is provided on a subscription basis (Lite — free; Pro and Max — paid).

3. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement under Indian law to use the Service. By using the Service, you represent and warrant that you meet these requirements.

4. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately at support@avviflow.com if you suspect any unauthorised use of your account.
• You must provide accurate and complete information when registering and keep it up to date.

5. Subscription Plans & Billing

• The Lite plan is free and subject to feature limitations as outlined on our pricing page.
• Paid plans (Pro, Max) are billed on a monthly or annual basis as selected at checkout.
• Plan pricing is subject to change; existing subscribers will be notified at least 30 days in advance of any price change.
• Early-bird pricing, once locked in for an active subscriber, will be honoured as long as the subscription remains active without lapse.
• You authorise us to charge your designated payment method at the start of each billing cycle.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation in India or any other jurisdiction.
• Transmit any unlawful, harmful, defamatory, fraudulent, or otherwise objectionable content.
• Attempt to gain unauthorised access to any part of the Service or another user's account.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to infringe intellectual property rights of any third party.
• Overload, disrupt, or impair the resources or infrastructure of the Service.

7. Intellectual Property

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, and software — are the exclusive property of AvviFlow and are protected under applicable Indian intellectual property laws. You may not copy, modify, distribute, or reproduce any part of the Service without our prior written consent.

You retain ownership of any data you upload to the Service. By uploading data, you grant AvviFlow a limited, non-exclusive licence to process that data solely for the purpose of providing the Service to you.

8. Termination

We reserve the right to suspend or terminate your account at our discretion if we determine that you have violated these Terms, engaged in fraudulent behaviour, or used the Service in any way that may cause harm to us or other users. You may also cancel your account at any time from account settings. Please refer to our Refund Policy regarding the consequences of cancellation.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, AvviFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of, or inability to use, the Service — even if we have been advised of the possibility of such damages. Our aggregate liability to you for any claim relating to the Service shall not exceed the amount paid by you to AvviFlow in the six (6) months preceding the claim.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Faridabad, Haryana, India.

12. Amendments

We may revise these Terms at any time by posting the updated version to this page with a new "Last updated" date. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
